Terms of Service
These Terms of Service ("Terms") govern your access to and use of the website buildwithaico.life (the "Website") and the programs, lab services, and related offerings provided by BuildWithAICo ("we," "us," or "our"), a business operating in Ontario, Canada, with principal offices at 525 Legget Drive, Suite 230, Kanata, ON K2K 2W2. By accessing the Website or engaging our services, you agree to be bound by these Terms. If you do not agree, you must not use the Website or our services.
1. Definitions
"Client" means an individual or organisation that enrols in a program or purchases lab services. "Content" means text, images, software, documentation, and other materials on the Website or provided during engagements. "Services" means robotics programs (BWA-101 through BWA-601), lab assessments, simulation sandbox access, AMR fleet pilots, collaboration workspace, motion planning workshops, deployment coaching, and any related professional services.
2. Website use
You may use the Website for lawful purposes only. You agree not to: (a) interfere with the Website's operation or security; (b) attempt unauthorised access to our systems or data; (c) use automated tools to scrape content without written permission; (d) transmit malware or harmful code; (e) misrepresent your identity or affiliation; or (f) use the Website in any manner that violates applicable Canadian federal or provincial law.
We reserve the right to suspend or terminate access to the Website for conduct that we reasonably believe violates these Terms or poses risk to our operations or other users.
3. Enrolment and contracts
Program enrolments and service engagements require a separate statement of work or enrolment agreement specifying scope, fees, schedule, deliverables, and intellectual property terms. In the event of conflict between these Terms and a signed statement of work, the statement of work prevails for that engagement.
Fees are quoted in Canadian dollars unless otherwise stated. Payment terms are specified in the enrolment agreement. Late payments may incur interest at the rate permitted by Ontario law. We may suspend lab access for overdue accounts after reasonable notice.
4. Cancellation and rescheduling
Cancellation and rescheduling policies vary by program and service tier. Standard terms: cancellations more than fourteen business days before a scheduled lab block receive a full credit toward future services; cancellations within fourteen business days forfeit fifty percent of the session fee; no-shows forfeit the full session fee. Custom enterprise agreements may specify different terms. Force majeure events — including severe weather, public health orders, or infrastructure failures — entitle either party to reschedule without penalty.
5. Intellectual property
We retain all rights in pre-existing lab tools, frameworks, methodologies, Website Content, and branding. Client-owned intellectual property created during engagements remains with the Client unless otherwise agreed in writing. Clients grant us a limited licence to use project materials solely for delivering Services. Neither party may use the other's trademarks without prior written consent.
6. Confidentiality
Each party agrees to protect the other's confidential information disclosed during engagements. Confidential information does not include information that is publicly available, independently developed, or rightfully received from a third party without restriction. Confidentiality obligations survive termination for three years, except for trade secrets which remain protected for as long as they qualify as trade secrets under applicable law.
7. Lab safety and conduct
All lab participants must complete safety orientation before accessing equipment. You agree to follow lab rules, wear required protective equipment, and operate robots only under mentor supervision unless explicitly authorised. We may remove participants who violate safety protocols or endanger others. You are liable for damage to lab equipment caused by your negligence or intentional misconduct.
8. Disclaimers
THE WEBSITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
BuildWithAICo provides engineering education, lab access, simulation infrastructure, and deployment coaching. We do not guarantee specific business outcomes, throughput improvements, cost savings, clinical efficacy, or regulatory approvals. Simulation results may differ from real-world performance. Autonomous robotics systems require ongoing human oversight, safety review, and compliance with applicable standards including CSA machine safety guidelines and Health Canada requirements where relevant.
We are not a marketing agency, robot reseller, medical device manufacturer, or licensed engineering firm unless explicitly stated in a signed agreement. AI-assisted tools used in our lab are decision-support aids and do not replace qualified professional judgement.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BUILDWITHAICO AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND CONTRACTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF THE WEBSITE OR SERVICES.
OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR SERVICES SHALL NOT EXCEED THE FEES PAID BY YOU TO US FOR THE SPECIFIC ENGAGEMENT GIVING RISE TO THE CLAIM IN THE TWELVE MONTHS PRECEDING THE EVENT. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN SUCH CASES, OUR LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.
10. Indemnification
You agree to indemnify and hold harmless BuildWithAICo from claims, damages, losses, and expenses (including reasonable legal fees) arising from your breach of these Terms, your negligence, your misuse of lab equipment, or your deployment of robotics systems developed or tested with our assistance, except to the extent caused by our gross negligence or wilful misconduct.
11. Privacy
Our collection and use of personal information is governed by our Privacy Policy, incorporated into these Terms by reference. By using the Website or Services, you consent to our privacy practices as described therein.
12. Third-party links and tools
The Website may contain links to third-party websites or reference third-party software and hardware. We do not control and are not responsible for third-party content, products, or services. Your use of third-party offerings is at your own risk and subject to their terms.
13. Governing law and disputes
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. The parties attorn to the exclusive jurisdiction of the courts of Ontario located in Ottawa. Before commencing litigation, the parties agree to attempt good-faith resolution through direct negotiation for thirty days.
14. General provisions
These Terms constitute the entire agreement regarding Website use except as supplemented by enrolment agreements for Services. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision does not waive our right to enforce it later. You may not assign these Terms without our consent; we may assign them in connection with a merger or sale of assets. Notices to us should be sent to [email protected] or our mailing address above.
15. Insurance and risk allocation
Clients deploying robotics systems in production environments are responsible for maintaining appropriate liability insurance covering their operations. We maintain commercial general liability and professional liability coverage for our lab activities. Details of coverage limits are available upon request for enterprise procurement processes. Neither party's insurance obligations limit the indemnification or liability provisions of these Terms except where expressly agreed in writing.
16. Export and trade compliance
Robotics components and software accessed through our lab may be subject to export control regulations administered by Global Affairs Canada and other authorities. Clients agree not to use lab resources to develop systems intended for prohibited end uses or destinations. We cooperate with lawful export compliance enquiries and may restrict access where required by sanctions or trade control laws.
17. Changes
We may modify these Terms at any time by posting updated Terms on the Website with a revised "Last updated" date. Material changes to Terms affecting active engagements will be communicated to Clients directly. Continued use of the Website after changes constitutes acceptance.
